GREEN TREE COUNTRY CLUB MGA BY-LAWS

 

GREEN TREE COUNTRY CLUB MEN’S GOLF ASSOCIATION

ARTICLE I – NAME

A. The name of the organization is GREEN TREE COUNTRY CLUB  MEN’S GOLF ASSOCIATION.

ARTICLE II – PURPOSE

A. The Association is established to foster a spirit of fellowship among its members and to encourage active participation in the game of golf and its related activities, keeping paramount the concept of the enjoyment of the game.

B. A further statement of purpose is the financial support of Junior Golf and other programs endorsed by the Club. This support is to be evidenced by a reasonable contribution to be determined from time to time by the MGA Board of Directors.

ARTICLE III – MEMBERSHIP

A. Eligibility:

Section 1. Any man who is a member or husband of a member in good standing of GREEN TREE COUNTRY CLUB shall be eligible for membership in the GREEN TREE COUNTRY CLUB MEN’S GOLF ASSOCIATION (the “MGA”) and shall be admitted upon application and satisfaction of the annual fee established by the MGA

board.  Association tournaments shall be conducted pursuant to the following provisions:

1(a) Association tournaments shall be limited to members with an established handicap; provided however, that the Tournament Chairman shall have the discretion, when needed, to request and authorize the participation of any of the golf service employees of GREEN TREE COUNTRY CLUB, from time to time to complete or fill out the field in a particular event;

1(b) Unless specified otherwise, awards, prizes and titles in any association tournaments shall be restricted to “amateur participants”, as that term is defined by the rules and regulations of United States Golf Association (“USGA”);

1(c) From time to time, on an individual tournament basis, to encourage the participation in Association tournaments of any members who may maintain the designation of “professional”, as that term is defined by the rules and regulations of the USGA, the board of directors of the Association may, upon majority vote, open any individual Association tournament to professionals, upon designation of awards and prizes in a special class for such designated tournament Section 2. In order to enter Association tournaments, the member must have an established handicap.

 

B. Dues:

Section 1. Membership dues shall be set by the MGA board.  The Treasurer shall notify the Club’s Accounting Office of any change prior to the Club’s Annual billing deadline at which time the Association’s dues are charged to members’ accounts.

 

ARTICLE IV – OFFICERS

A. The officers shall be President, Vice-President, Secretary and Treasurer.

B. They shall be elected annually by the membership to serve a calendar year term of office.

C. Vacancies in any elected office may be filled by the MGA Board

D. Removal of any officer for cause may be accomplished at the discretion of the MGA Board.

ARTICLE V – MANAGEMENT AND OPERATION

A. There shall be a MGA Board of Directors comprised of the President, Vice-President, Secretary, Treasurer, and Immediate Past President.

B. The MGA Board of Directors shall meet at least quarterly at the call of the President to formulate policies and direct the operation of the Association.

C. Upon completion of each Board member’s term of office, he shall turn over to his successor a copy of all written materials and records pertaining to the office or chairmanship held. Originals of all materials and records are to be provided to the Membership Chairman / Association Historian for permanent retention in the Association’s archives.

 

ARTICLE VI – MEETINGS

A. Regular meetings of the MGA membership shall be held at least once during each calendar quarter at such time and place as may be determined by the MGA President or the MGA Board.

B. Special meetings of the membership may be called by the President or by the MGA Board.  Notice of such meetings must be posted on the Club bulletin board at least seven (7) days prior to the scheduled meeting.

C. For purposes of transacting business at any regular or special membership meeting, a quorum shall consist of one-fifth of the Association membership.

D. Meetings shall be conducted under Roberts Rules of Order.

ARTICLE VII – DUTIES of OFFICERS

A. Duties of the President:

Section 1. He shall preside at all MGA meetings.

Section 2. He shall have the authority to disburse Association funds in an amount not to

exceed two hundred dollars ($200.00) for any single Association expense or five

hundred dollars ($500.00) for several Association expenses without prior approval

of the MGA Board.

Section . He may appoint a Parliamentarian at any meeting who shall interpret procedures in accordance with Roberts Rules of Order.

B. Duties of the Vice-President:

Section 1. He shall assume the duties of the President in his absence.

Section 2. He shall serve as the Association’s Tournament Chairman, delegating the

responsibility for individual tournaments as he deems appropriate.

Section 3. He shall perform such other duties as may be delegated to him by the President.

 

C. Duties of the Secretary:

Section 1. He shall record the minutes of all meetings of the MGA membership.

Section 2. He shall prepare Association publicity releases and coordinate them with the Golf Professionals.

Section 3. He shall perform such other duties as may be delegated to him by the President.

 

D. Duties of the Treasurer:

Section 1. He shall be the custodian of the funds and related records of the Association.

Section 2. He shall report the financial status of the Association at all meetings.

Section 3. He shall prepare a year end financial statement of Association activities.

Section 4. He shall perform such other duties as may be delegated to him by the President.

 

ARTICLE VIII – STANDING COMMITTEE

A. Tournament Committee:

Section 1. The Vice-President shall serve as Chairman. The Club Golf Professional will be invited to serve as adviser and consultant to the committee. It shall plan, organize

and supervise all tournaments sponsored by the Association.

Section 2. The Vice-President shall submit a proposed tournament schedule and format to

the MGA Board at the earliest possible date for its concurrence. The schedule shall then be announced to the membership at its first meeting of the year.

Section 3. Annually recurring major tournaments shall include:

(1) Rusty Swing Golf Tournament

(2) Gusher Golf Tournament

(3) Jamboree Golf Tournament

 

B. Rules Committee:

Section 1. This committee shall consist of the Chairman and his appointees. The Club golf Professional will serve as adviser and consultant to the committee.

Section 2. It shall make interpretations and judgments on any controversies involving the

Rules of Golf or tournament rules arising during any Association sponsored event.

Section 3. The Chairman shall insure that at least one committee member is assigned to each Association tournament.

Section 4. Rulings of the Rules of Committee shall be final.

 

ARTICLE IX – NOMINATIONS AND ELECTIONS

A. Nominations:

Section 1. During the year the MGA Board shall select a Nominating Committee for the purpose of recommending a slate of Officers for the ensuing year.

Section 2. The Nominating Committee shall consist of five regular members of the

Association, one of whom shall be appointed Chairman by the President.

Section 3. A member of the Nominating Committee shall not be eligible as a nominee for

any elective office.

Section 4. It shall be understood that the Vice-President nominee is to be nominated for the office of President in the ensuing year.

Section 5. All nominees must have indicated their acceptance of the nominations prior to an election. Additional nominees may be proposed by the membership from the or at

the election meeting, provided that such nominees are present and accept the

nomination.

B. Elections:

Section 1. The slate of nominees shall be posted on the Club bulletin board at least ten days prior to the scheduled election meeting.

 

ARTICLE X – DISSOULUTION

A. Disposition of Assets:

Section 1. Upon dissolution of this Association, any remaining funds or other property shall be distributed by the Board of Directors solely for charitable or educational

purposes.

Section 2. Such disposition shall require the affirmative vote of two-thirds of the board

members whether present or absent. An absent board member shall be contacted

by the President for his vote.

 

ARTICLE XI – AMENDMENTS

Procedure:

Section 1. Any proposed amendment to these By-Laws shall be submitted in writing, signed by five members and posted on the Club bulletin board at least fourteen days

prior to the next scheduled membership meeting.

Section 2. The proposed amendment shall there be voted upon and, if approved by a two

thirds majority of members present, the amendment shall become a part of these MGA

By-Laws.

 

ARTICLE V – MANAGEMENT AND OPERATION

The Club Golf Professional shall be a non-voting member of the MGA Board
